7. TERMINATION
7.1 This Customer Agreement will remain in effect
until CAD 2 CAM, Inc. completes the Service unless terminated earlier by either
party. Customer may, for any reason,
terminate this Customer Agreement at any time effective upon CAD 2 CAM, Inc.'s
receipt of written notice thereof. In
the event of termination, CAD 2 CAM, Inc. will deliver to Customer copies of
its work product completed to date provided Customer has paid all sums due to
CAD 2 CAM, Inc. as of the date of such notice.
7.2 CAD 2 CAM, Inc. may, in its sole discretion,
terminate this Customer Agreement for any reason, including, without
limitation, breach of the Customer Agreement, or assignment of the Customer
Agreement by Customer.
7.3 All restrictions and obligations imposed on either
party and those rights of either party which, by the terms hereof, are to be
performed and continue beyond the expiration or prior termination hereof, shall
survive the expiration or termination of this Agreement.
8. MISCELLANEOUS
8.1 This Customer Agreement has been made in and shall
be construed and enforced in accordance with Oregon and U.S. law. Any action to
enforce this agreement shall be brought in the federal or state courts located
in Portland, Oregon.
8.2 If any provision of this Customer Agreement is
determined to be invalid and/or unenforceable by a final decision of a court of
competent jurisdiction, it shall not affect the remainder of the Customer
Agreement, which shall survive and remain in full force and effect.
8.3 This Customer Agreement constitutes the entire
understanding between the parties hereto with respect to the Services and all
other matters hereof, and merges all prior and contemporaneous
communications.
