2. CUSTOMER CONTENT
SUBMISSIONS
2.1 License to Use
Customer Content. Customer hereby grants to CAD 2 CAM, Inc., its
agents and affiliates the perpetual, royalty-free, worldwide right and
non-exclusive license to copy, adapt, translate, and publish the Customer
Content in the form or media requested in Customer's order for Services.
Customer assumes sole responsibility for the protection of its copyrights,
trademarks, service marks, trade names, trade secrets, patents, and other
intellectual property rights in all Customer Content.
2.2 Ownership of
Customer Content and Work Products.
Nothing contained in this Customer Agreement shall be construed to
create in or convey to CAD 2 CAM, Inc. any right to, or proprietary interest
in, any intellectual property related to Customer Content or any work
product(s) that results from CAD 2 CAM, Inc.'s performance of the
Services. Customer shall own all work
products resulting from the Service as "works for hire." In the event that such is not deemed to be
works made for hire, CAD 2 CAM, Inc. hereby assigns to Customer all of CAD 2
CAM Inc.'s right, title and interest in and to such intellectual property.
Furthermore, CAD 2 CAM, Inc. agrees to
execute all documents reasonably requested by Customer to further evidence the
foregoing assignment and to provide all reasonable assistance to Customer, at
Customer's expense, in perfecting or protecting Customer's rights in such work
product.
2.3 Delivery of
Customer Content. Customer
agrees to deliver any and all Customer Content in the format and in accordance
with procedures established and communicated by CAD 2 CAM, Inc. from time to
time. CAD 2 CAM, Inc.'s format may
include, but shall not be limited to: file formats, media types, guidelines and
procedures, and technical standards, as any of which may be promulgated and
modified by CAD 2 CAM, Inc. from time to time.
Customer acknowledges that its failure to comply with such formats and
procedures may cause the translation of its Customer Content to be delayed or
refused, and CAD 2 CAM, Inc. shall have no liability with respect thereto.
2.4 Review of
Customer Content. Customer
understands that it is solely and exclusively responsible for its Customer
Content. CAD 2 CAM, Inc. shall have no responsibility to review any Customer
Content for technical adequacy, completeness, quality or otherwise. Under no
circumstances shall CAD 2 CAM, Inc. be liable for any defects or problems of
any kind related to or associated with any Customer Content.
